Terms & Conditions

By accessing or using the website located at www.rayvnfilms.com (the “Site”) or by engaging Rayvn Films LLCfor production, digital imaging technician (DIT), video assist (VTR), dailies, data management, or any other services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use the Site or engage our Services.

These Terms constitute a legally binding agreement between you (“Client” or “you”) and Rayvn Films LLC, a limited liability company organized under the laws of the State of Texas.

Rayvn Films LLC provides cinematic production services including, but not limited to: on-set DIT services, VTR/video assist, dailies and transcoding, data management and media offload, remote monitoring, post production support, full-scale film production, commercial production, music video production, and photography. The specific scope of any engagement shall be defined in a separate production agreement, service agreement, or statement of work executed between the parties.

Rayvn Films LLC reserves the right to modify, suspend, or discontinue any Services at any time without notice. We also reserve the right to refuse service to anyone for any reason not prohibited by applicable law.

All quotes and estimates provided by Rayvn Films LLC are non-binding until a written agreement is executed by both parties. Day rates, package pricing, and project estimates are subject to change based on production scope, duration, equipment requirements, and market conditions.

Unless otherwise stated in a written agreement: (a) a deposit of fifty percent (50%) of the total project fee is due upon execution of the service agreement; (b) the remaining balance is due upon delivery of final deliverables or completion of services; (c) invoices are payable within fifteen (15) days of issuance; and (d) late payments shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted under Texas law, whichever is less.

All prices are quoted in United States Dollars (USD) unless otherwise specified.

Unless explicitly stated otherwise in a written agreement signed by Rayvn Films LLC:

• Rayvn Films LLC retains all intellectual property rights in any creative works, treatments, formats, tooling, workflows, and methodologies developed during or independent of the engagement.
• Client retains ownership of all raw footage, audio recordings, and final deliverables produced exclusively for Client upon receipt of full payment.
• Rayvn Films LLC reserves the right to use finished projects as portfolio, promotional, and marketing material unless the Client requests confidentiality in writing prior to project commencement.
• Any content submitted by the Client to Rayvn Films LLC (including logos, brand assets, scripts, music, or third-party materials) must be properly licensed. Client warrants that it holds all necessary rights and indemnifies Rayvn Films LLC against any third-party claims arising from Client-supplied materials.

Cancellations must be submitted in writing to legal@rayvnfilms.com. The following cancellation policy applies unless modified in a separate agreement:

• More than 14 days before scheduled service: Full deposit refunded less a $250 administrative fee.
• 7–14 days before: 50% of the deposit is forfeited.
• Less than 7 days before: Full deposit is forfeited.
• Less than 48 hours before or day-of: 100% of the total project fee is due.

Rescheduling requests are subject to availability and must be made in writing. Rayvn Films LLC reserves the right to charge a rescheduling fee equal to 10% of the project total.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE TEXAS AND FEDERAL LAW, RAYVN FILMS LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RAYVN FILMS LLC'S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO RAYVN FILMS LLC FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Client agrees to indemnify, defend, and hold harmless Rayvn Films LLC, its members, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Client's use of the Services; (b) Client's breach of these Terms; (c) Client-supplied materials or content; or (d) any violation of applicable law by Client.

Both parties agree to keep confidential any non-public information disclosed during the course of the engagement, including but not limited to production strategies, pricing, talent information, scripts, and proprietary workflows. This obligation survives termination of the engagement for a period of two (2) years.

Rayvn Films LLC shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, power failures, labor disputes, pandemic, or any other event outside Rayvn Films LLC's reasonable control (“Force Majeure Events”). Rayvn Films LLC will notify Client promptly and work in good faith to reschedule or mitigate the impact.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall first be subject to good-faith negotiation. If the parties cannot resolve the dispute within thirty (30) days, the dispute shall be submitted to binding arbitration in Harris County, Texas, under the Commercial Arbitration Rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction.

The Site and its content are provided for informational purposes only. You may not reproduce, distribute, or create derivative works from Site content without prior written permission. Rayvn Films LLC reserves the right to modify, suspend, or discontinue the Site at any time. You agree not to use the Site for any unlawful purpose or in any way that could damage the Site or Rayvn Films LLC.

Rayvn Films LLC reserves the right to modify these Terms at any time. Updated Terms will be posted to this page with a revised effective date. Continued use of the Site or Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
